These terms and conditions apply to all contracts concluded between Comete Design and its clients for the provision of web creation, digital design, and custom IT solution services.

Definitions:

• Client: Any natural or legal person who orders services from Comete Design
• Services: All services provided by Comete Design as described in Article 3
• Contract: The agreement concluded between the Client and Comete Design for the provision of Services
• Quote: The document detailing the Services, their price, and execution conditions

• Website and application creation
• User interface design (UI/UX)
• Branding and visual identity
• Digital marketing campaigns
• Digital strategy consulting
• Maintenance and technical support

4. Pre-contractual Information

In accordance with Belgian law, the Client has the following information before any contract conclusion:

• Essential characteristics of the Services
• Total price of Services including all taxes
• Payment, execution, and delivery terms
• Existence and terms of exercise of the right of withdrawal
• Information on legal and contractual guarantees
• Comete Design contact details for any complaints

5. Quotes and Pricing

All our projects are subject to a detailed and personalized quote. Quotes are valid for 30 days from their issue date. Any commencement of a project constitutes acceptance of the quote and these terms and conditions.

Prices are expressed in euros (€) and are net, excluding VAT applicable according to the rates in force in Belgium. Unless otherwise specified, prices do not include hosting costs, domain name registration, or third-party services.

6. Payment Terms

Payment terms are as follows:

• 30% deposit upon quote acceptance
• 40% at mid-project
• 30% upon final delivery

Payments are made by bank transfer or according to the terms agreed upon in the quote.

In case of late payment, Comete Design reserves the right to apply late payment interest at the legal Belgian rate in force, as well as collection costs in accordance with Belgian law.

7. Right of Withdrawal

In accordance with Belgian law, the consumer Client has a period of 14 calendar days to withdraw without having to justify reasons or pay penalties.

This period runs from the conclusion of the contract. To exercise this right of withdrawal, the Client must notify their decision by any means that allows acknowledgment of receipt, in particular:

• By email to info@cometedesign.com
• By mail to Comete Design's address
• Through the site's contact form

In case of withdrawal, Comete Design will refund all payments received within 14 days from receipt of the withdrawal notification.

Exceptions: The right of withdrawal does not apply to services fully performed before the expiration of the withdrawal period if performance began with the consumer's prior express consent.

8. Delivery Times

Delivery times are estimates and may vary depending on the complexity of the project and client approval deadlines. Comete Design commits to respecting deadlines as much as possible and to inform the client of any foreseeable delays.

9. Intellectual Property

Until full payment of services, Comete Design retains intellectual property of the creations. After full payment, intellectual property rights are transferred to the client, with the exception of tools and templates developed by Comete Design which remain its exclusive property.

The Client guarantees having all necessary rights on the elements (texts, images, logos) they provide and releases Comete Design from any liability in case of violation of third-party rights.

10. Client Obligations

The client undertakes to:

• Provide all elements necessary for the smooth progress of the project
• Respect approval deadlines
• Guarantee the originality and legality of provided content
• Not request creations contrary to law or good morals
• Actively collaborate in project implementation
• Respect the agreed payment terms

11. Personal Data Protection

Comete Design undertakes to protect the Client's personal data in accordance with the General Data Protection Regulation (GDPR) and applicable Belgian legislation.

Personal data collected are processed for the following purposes:

• Contract execution and provision of Services
• Administrative management and billing
• Communication and project follow-up
• Service improvement (with consent)

The Client has rights of access, rectification, erasure, restriction, portability, and opposition regarding their personal data. To exercise these rights, they can contact Comete Design at the coordinates mentioned in Article 1.

12. Confidentiality

Comete Design undertakes to respect the confidentiality of information provided by the client and to use it only within the framework of the project. The client also undertakes to maintain the confidentiality of technical and strategic information shared by Comete Design.

14. Legal Conformity Guarantee

In accordance with Belgian law, Comete Design guarantees that the Services are compliant with the contract and free from any defect. The Client benefits from the legal guarantee of conformity for 2 years from delivery.

In case of non-conformity, the Client may request conformity, replacement, or a price reduction, in accordance with the provisions of the Belgian Economic Code.

15. Contractual Warranty and Maintenance

Comete Design guarantees its creations against any defect of conformity for a period of 3 months following delivery. This warranty does not cover modifications requested by the client or problems related to improper use.

16. Termination

The Client may terminate the contract under the following conditions:

• During the 14-day withdrawal period (see Article 7)
• In case of serious breach by Comete Design of its obligations
• By mutual agreement between the parties

Comete Design may terminate the contract in case of:

• Non-compliance with Client obligations after formal notice
• Non-payment of due amounts
• Bankruptcy or cessation of Client's activities

In case of termination by the Client outside the withdrawal period, the latter undertakes to pay the full amount of services already performed on a pro rata basis of work completed.

17. Mediation and Disputes

In case of dispute between the parties, they will endeavor to find an amicable solution.

In accordance with Belgian legislation, the consumer Client may refer the matter to the competent mediation service:

• Federal Mediator: [To be completed with mediator's contact details]
• Sector mediation service: [To be completed]

Referring to the mediator does not exclude the possibility of taking legal action.

18. Applicable Law and Jurisdiction

These terms and conditions are governed by Belgian law, to the exclusion of any other legislation.

Any dispute relating to the execution of these terms and conditions shall be subject to the jurisdiction of the courts of the location of Comete Design's registered office, except for mandatory provisions of Belgian law to the contrary.

19. Modifications to Terms and Conditions

Comete Design reserves the right to modify these terms and conditions. The modifications will take effect upon their publication on the site and will apply to contracts concluded after this publication.

For ongoing contracts, modifications will only apply with the express agreement of both parties.
